What Is Foreign Qualification?
In business law, "foreign" just means "from another state." A Florida LLC doing business in Georgia is a foreign LLC in Georgia. Foreign qualification is the process of registering it there.
What the filing involves
- An application for authority (or certificate of authority) filed with the other state
- A recent certificate of good standing from your home state — most states want it issued within the last 30 to 90 days, so check the filing state's rule
- A registered agent in the new state
- A state filing fee, plus that state's annual reports going forward
What happens if you don't qualify
- Your business may be unable to sue in that state's courts until it registers
- Penalties, back fees, and back taxes can accumulate
- Some states hold owners or officers responsible for penalties
Your contracts generally remain valid, but you lose leverage if you ever need to enforce them.
